Terms of service

These Terms of Service (hereinafter referred to as the "Terms") set forth the conditions for using the online store (hereinafter referred to as the "Store") operated by Ginji Osada (hereinafter referred to as "we," "us," or "our").

All customers who use the Store (hereinafter referred to as "Customers") are deemed to have agreed to these Terms.

Article 1 (Application)

These Terms apply to all matters relating to the use of the Store and the purchase of products between Customers and the Store.
In addition to these Terms, we may establish separate policies, including a Return and Exchange Policy, Shipping Policy, Privacy Policy, and other individual provisions (collectively referred to as "Individual Policies"). These Individual Policies form part of these Terms.
In the event of any inconsistency between these Terms and the Individual Policies, the Individual Policies shall prevail. However, Article 3 of these Terms shall take precedence regarding responsibility for customs duties, import taxes, customs clearance fees, and other import-related charges associated with international shipping.

Article 2 (Purchase of Products)

A sales contract is formed when a Customer places an order through the Store and we accept that order.
We may refuse or cancel an order in any of the following circumstances:

When securing inventory or materials is difficult.
When there are errors in product prices, specifications, or other published information.
When an order is determined to be fraudulent or intended for resale.
When a Customer violates these Terms.
When we otherwise determine that continuing the sale would be inappropriate.

Article 3 (Product Prices and Payment)

Product prices are displayed on each product page. Prices may vary depending on the destination country or region.
Shipping fees are payable by the Customer separately from the product price. Shipping fees are displayed in the Shipping Policy, on the product page, or at checkout. This does not apply when the conditions for free shipping are met.
For shipments to the United States of America, customs duties, import taxes, and customs clearance fees associated with normal import clearance using our designated shipping method are included in the product price. We are responsible for these charges and will arrange payment.

However, if additional storage fees, return shipping fees, reshipping fees, or other expenses arise due to circumstances attributable to the Customer, including incorrect delivery information, changes to the delivery address after shipment, refusal to accept delivery without a legitimate reason, or failure to provide required customs information, the Customer shall bear the reasonable amounts actually incurred, to the extent permitted by applicable law.

If such charges are requested, we will provide an explanation of the reasons and an itemized breakdown.

4. For shipments to countries or regions outside the United States, customs duties, import taxes, customs clearance fees, and other import-related charges are not included in the product price or shipping fees. Any such charges incurred shall be borne by the Customer.

However, Customers are not required to pay again for charges already collected by us at the time of purchase.

5. For shipments to the United States, if a shipping carrier or customs authority requests payment from the Customer for import-related charges that are our responsibility, please contact us before making payment and provide the order number and documentation showing the details of the charges.

We will review the charges and payment status and coordinate with the shipping carrier or relevant authority.

A refund or compensation is not guaranteed solely on the basis of a Customer's report. However, this provision does not release us from our obligation to bear the charges specified in Paragraph 3.

Customers shall pay the product price, shipping fees, and other applicable charges using the payment methods designated by the Store.
Production and shipping arrangements begin only after payment has been completed.
We will not begin production or shipping until payment has been confirmed.
For orders that have not been paid in full, the production start date and estimated delivery schedule will not be confirmed.
All products sold through the Store are made to order. Materials are sourced and production begins after payment is completed. Therefore, cancellations, changes to order details, and refunds requested for reasons attributable to the Customer after payment are not accepted, except where required by applicable law or separately approved by us.

Article 4 (Returns and Exchanges)

Returns and exchanges are governed by the separately established Return and Exchange Policy.

Article 5 (Prohibited Conduct)

Customers must not engage in any of the following activities when using the Store:

Providing false information.
Placing orders using another person's information.
Using the Store for fraudulent purposes or resale.
Infringing upon the rights or interests of the Store or any third party.
Engaging in activities that violate applicable laws or public order and morals.
Any other activities that we determine to be inappropriate.

Article 6 (Intellectual Property Rights)

All intellectual property rights relating to images, text, logos, designs, product photographs, product designs, and other content published on the Store belong to us or their respective lawful rights holders.

Reproduction, republication, modification, sale, distribution, or similar use of such content without our prior written consent is prohibited.

Article 7 (Disclaimers)

Our products are made using natural leather. Due to the characteristics of natural materials, variations such as wrinkles, natural vein markings, uneven coloring, minor scratches, and differences in grain may occur. These characteristics are not considered defects.
Some products contain studs, metal components, and other decorative elements. Customers should exercise appropriate care when using these products.
Except where liability is imposed by applicable law, we shall not be responsible for accidents, injuries, property damage, or other losses arising from the Customer's use, wearing, storage, or handling of products.
Product colors and textures may appear different from the actual items depending on the Customer's monitor settings or viewing environment.
We shall not be responsible for delivery delays or other losses caused by natural disasters, shipping carrier circumstances, customs procedures, or other events beyond our control.
Except where exclusion of liability is prohibited by law, we shall not be liable unless the loss results from our intentional misconduct or gross negligence.

Article 8 (Changes to the Terms)

We may amend these Terms when we determine that changes are necessary, in accordance with applicable law.

When changes are made, we will announce the details and effective date through the Store or other appropriate means.

Where Customer consent is required by law, we will obtain such consent.

Article 9 (Governing Law and Jurisdiction)

These Terms shall be governed by the laws of Japan. However, they do not exclude protections provided by mandatory laws applicable to Customers.

In the event of a dispute arising from these Terms or the use of the Store, the court having jurisdiction over our place of business shall have exclusive jurisdiction as the court of first instance, unless otherwise required by law.
