These Terms and Conditions (the "Terms") govern the use of the online store (the "Shop") operated by Ginji Osada (the "Shop"). By using this Shop, all customers (the "Customer") are deemed to have agreed to these Terms.

Article 1 – Scope

These Terms apply to all relationships between the Customer and the Shop regarding the use of the Shop and the purchase of products.

In addition to these Terms, the Shop may establish separate policies, including the Return & Refund Policy, Shipping Policy, Privacy Policy, and other supplementary rules (collectively, the "Supplementary Policies"). These Supplementary Policies form an integral part of these Terms.

If there is any inconsistency between these Terms and any Supplementary Policy, the Supplementary Policy shall prevail.

Article 2 – Purchase of Products

A sales contract is formed when the Customer places an order through the Shop and the Shop accepts that order.

The Shop reserves the right to refuse or cancel an order in the following circumstances:

  • If inventory or materials cannot be secured;
  • If there is an error in the product price, specifications, or other published information;
  • If the order is suspected to be fraudulent or intended for resale;
  • If the Customer violates these Terms;
  • Or if the Shop otherwise determines that fulfilling the order would be inappropriate.

Article 3 – Product Prices and Payment

Product prices are displayed on each product page.

Shipping fees are as stated in the Shipping Policy or on the relevant product page.

Any customs duties, import taxes, import VAT, or other import-related charges incurred for international shipments are the responsibility of the Customer.

The Customer shall pay for products using one of the payment methods designated by the Shop.

Production and shipping begin only after payment has been successfully confirmed.

No production or shipment will begin until payment has been received.

For unpaid orders, the production start date and estimated delivery date cannot be confirmed.

All products sold by the Shop are made to order. Since materials are sourced and production begins only after payment has been confirmed, cancellations, order modifications, or refunds requested by the Customer after payment cannot be accepted, except where required by applicable law or otherwise approved by the Shop.

Article 4 – Returns and Exchanges

Returns and exchanges are governed by the Shop's separate Return & Refund Policy.

Article 5 – Prohibited Conduct

Customers must not:

  • Provide false information;
  • Place orders using another person's information;
  • Use the Shop for fraudulent purposes or resale;
  • Infringe upon the rights or interests of the Shop or any third party;
  • Violate any applicable laws, regulations, or public order and morals;
  • Engage in any other conduct that the Shop considers inappropriate.

Article 6 – Intellectual Property

All intellectual property rights relating to the images, text, logos, designs, product photographs, product designs, and all other content published on the Shop belong to the Shop or the respective rights holders.

No content may be copied, reproduced, modified, distributed, sold, republished, or otherwise used without the Shop's prior written permission.

Article 7 – Disclaimer

The Shop's products are made using genuine leather. Due to the natural characteristics of leather, variations such as wrinkles, natural veins, color variations, minor scratches, and differences in grain may occur. These are natural characteristics of genuine leather and do not constitute defects.

Some products contain studs, metal parts, or other decorative components. Please use these products with appropriate care.

To the fullest extent permitted by law, the Shop shall not be liable for any accidents, injuries, property damage, or other losses resulting from the Customer's use, wearing, storage, or handling of the products.

Product colors and textures may appear different from the actual products depending on the Customer's monitor or viewing environment.

The Shop shall not be liable for shipping delays or any resulting damages caused by natural disasters, carrier-related issues, customs procedures, or any other circumstances beyond the Shop's reasonable control.

Except where liability cannot be excluded under applicable law, the Shop shall not be liable for any damages except those caused by the Shop's willful misconduct or gross negligence.

Article 8 – Amendments

The Shop reserves the right to amend these Terms whenever deemed necessary.

Any amendments shall become effective upon publication on the Shop's website.

Article 9 – Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of Japan.

Any dispute arising out of or relating to these Terms or the use of the Shop shall be subject to the exclusive jurisdiction of the court having jurisdiction over the location of the Shop as the court of first instance.
